By-Laws for the Market Heights Neighborhood Association

I. PURPOSE

The purpose of the Market Heights Neighborhood Association is to promote the general welfare of the residents of the Market Heights area of Canton, Ohio by:

  1. Identifying the benefits of city living and promoting long-term residence through its policies, practices and programs.
  2. Encouraging the stability and physical attractiveness of the neighborhood by educating/informing residents about city ordinances and community improvement resources.
  3. Advocating and initiating efforts to beautify and preserve the neighborhood, combat community deterioration and improve access to city services.
  4. Maintaining the peace and good order by cooperation with local police and neighborhood volunteers for crime prevention and communication about security and safety concerns.

II. MARKET HEIGHTS DEFINED

Market Heights shall be considered that part of the City of Canton including the north side of 30th Street N.W. between Market Avenue N.W. and Frazer Avenue N.W. to and including the south side of 37th Street N.W. as bounded by and including the west side of Market Avenue N.W. and the east side of Frazer Avenue N.W.

III. MEMBERSHIP

All natural persons residing in or owning real estate in Market Heights, who agree with and endorse the purpose of this Association, and upon paying the dues as provided for herein, shall be eligible for membership. Such members shall have the right to vote in person at the general meetings of the Association as provided for herein and shall have the right to receive notice of all general meetings of the membership of the Association. The Association may grant Honorary Membership to any person not living within Market Heights who agrees with and endorses the purpose of the Association. Such memberships shall include all rights and privileges as described herein with the exception of the voting privilege.

IV. MEETINGS

  1. There shall be an annual general meeting of the membership of the Market Heights Neighborhood Association during the month of November each year at a date fixed by the current officers. Officers shall be elected for a period of one year at the annual meeting of the general membership.
  2. Officers may call such additional meetings from time to time as they deem necessary or desirable.
  3. The President shall notify the membership of meetings by written notice using any of the following media: quarterly newsletters, social media, email.
  4. At each meeting of the general membership, all official minutes of the Association since the last general meeting shall be available for reading unless waived by the membership.
  5. A majority vote will carry all issues. A majority shall mean of those members in attendance.
  6. The latest version of "Robert's Rules of Order" will control the conduct of all meetings of the officers and general membership.

V. OFFICERS AND BOARD OF DIRECTORS

  1. The officers of the Association shall be a President, First Vice President, Second Vice President, Secretary, Treasurer and Chairman of the Nominating Committee. All officers shall serve for a period of one year. In the event of the resignation, death or disability of any officer, the remaining officers shall elect an officer to serve the remainder of the term. The Nominating Committee will consider candidates for President who have demonstrated interest in the Market Heights Neighborhood Association or served as an officer, watch coordinator or project coordinator. At the discretion of the Nominating Committee, candidates for President who have demonstrated leadership in other volunteer or professional roles can be considered.
  2. The Board of Directors shall include the officers, nominating chairperson, two representatives of the Neighborhood Leadership Council and one director-at-large.
  3. The duties of the President shall be:
    1. To preside at all meetings of the membership and the meetings of the officers.
    2. To be an ex-officio member of all committees.
    3. To co-sign with the Treasurer all checks written on the Association accounts.
    4. To appoint one or more members to an audit committee annually which will audit the financial records of the Treasurer and report to the officers.
  4. The duties of the First Vice President shall be:
    1. To appoint, supervise and direct the Association committee chairpersons in carrying out their designated responsibilities.
    2. To preside at all meetings of the general membership or officers in the absence of the President.
    3. To maintain a roster by address of all members and a record of payment of dues.
    4. To perform such duties as assigned by the President.
  5. The duties of the Second Vice President shall be:
    1. To enlist and direct the activities of the Watch Area Coordinators in carrying out their designated responsibilities.
    2. To preside at all meetings of the general membership or officers in the absence of the President or First Vice President.
    3. To maintain a log of Crime Reports within the Market Heights area.
    4. To perform such duties as assigned by the President.
  6. The duties of the Secretary shall be:
    1. To keep minutes of all membership meetings.
    2. To maintain a permanent file of records and minutes of all meetings.
    3. To maintain or deliver the required notice of all meetings.
    4. To maintain such mailing lists as are needed.
    5. To perform such duties as assigned by the President.
  7. The duties of the Treasurer shall be:
    1. To accept all dues and other monies received by the Association and deposit the same in an insured checking or savings account in a financial institution in the Canton area.
    2. To write all checks in payment of obligations of the Association and sign said checks with the President.
    3. To advise the First Vice President of the payment of dues of the members.
    4. To keep all financial records of the Association and transfer such records and other pertinent documents to the preceding Treasurer.
    5. To make a written financial report of the income, expenses, assets and liabilities of the Association at each annual meeting.
    6. To perform such duties as assigned by the President.
  8. The duties of the Nominating Committee Chairperson shall be:
    1. To prepare a slate of candidates, with consent of each candidate, for presentation at each annual meeting.
    2. To present and preside over the nomination and election of the officers of the Association.

VI. COMMITTEES

The duties and responsibilities of the committees shall be set forth and described in addendums to these by-laws and may be altered to accommodate the effective functioning of the respective committee. Following the original draft of these duties and responsibilities, any change must be presented and approved by the officers of the Association.

VII. DUES

The dues shall not be less than $24 per member household per year.

VIII. AMENDMENTS

These by-laws may be amended at any annual meeting or special meeting duly called. The notice of such meeting shall set forth the proposed amendments to the by-laws to be voted upon.
